Bylaws

 

 

Article 1 Name

 

The name of the organization shall be the CSRA Leather Bears of Augusta, Inc., hereafter referred to as: CSRA Leather Bears, Leather Bears, or “the organization.”

 

Article II  Purpose

 

To promote fellowship among members of the organization.

 

To plan, promote, and host activities and events that promote fellowship among members and guests who are interested in the leather or bear communities

 

To promote charitable causes

 

Article III Membership

Full Membership

  1. Full Members must be at least 21 Years of Age

  2. A Full Member must be in good standing according to the bylaws of the club

  3. Full Members are encouraged to attend at least one leather or bear function hosted by another club each year

  4. Full Members are encouraged to join other affiliated leather or bear clubs at an associate member level

  5. Serve as officers or any other assigned position

  6. Vote on all issues, except those involving disciplinary action

  7. Nominate individuals for membership as well as encourage others to join the club

  8. Full Members are expected to participate in all functions held by the club.

  9. Receive publications and mailings, including but not limited to texts, emails, group messages, and other forms of electronic media.

  10. Be identified as CSRA Leather Bear members

 

Associate / Pledge Membership

  1. Full Members must be at least 21 Years of Age

  2. Must be in good standing according to the bylaws of the club

  3. Attend functions of the organization.

  4. Receive publications and mailings, including but not limited to texts, emails, group messages, and other forms of electronic media.

  5. Be identified as CSRA Leather Bear members

  6. Associate Members/Pledges have a voice but no vote, nor they be officers in the organization.

Article IV Membership Invitations, Applications, and Acceptance

 

Section 1 New Membership Applications

  1. New Applicants for Full membership must complete a membership application form along with the initial membership dues. The membership application will be presented to the members in attendance at the next general business meeting.

  2. Previous members who were in good standing with the organization upon withdrawal shall complete an application for membership and present it to the President of the organization along with the yearly renewal dues.

  3. Associate members wishing to upgrade their membership status to Full Membership shall complete a membership application and present it to the Board of the Organization, along with yearly dues for Full membership for review.

  4. New Associate members will simply complete membership application and return it to the Board along with the Associate member dues.

  5. Pledge members shall return their completed membership application to the Executive Council along with Pledge dues

 

Section 2 Membership Acceptance

  1. New Full membership applications must be approved by a majority of the members present at the meeting in which the application is presented.

  2. Previous members in good standing at time of withdrawal will be reinstated by the President of the organization.

  3. Associate members, and Associate Members upgrading to Full members must be approved by the Board of the Organization.

  4. Due to the nature of Pledge members, and their newness to the community, Pledge Members must be approved by the President of the Organization. Pledge membership is for a maximum period of one year while the member finds their place in the community.

 

Article V Organization

 

Section 1 Executive Council, also referred to as ‘the Board”.  The executive council shall consist of the officers of the organization Officers and Duties

 

5.1.1.  President: The President shall give active direction and have control of the business and affairs of the organization. He/she may sign contracts or other instruments which the Executive Council has authorized to be executed, and shall perform all duties incident to the office of the President as may be prescribed by the Executive Council

 

5.1.2.  Vice President: The Vice President shall fill all duties and responsibilities of the President in his/her absence.

 

5.1.3.  Secretary: The Secretary shall keep the minutes of the meetings of the Executive Council; see that all notices are duly given in accordance with the provisions of these bylaws, keep organization records; and in general perform all duties incident to the office of Secretary and such other duties as from time to time may be assigned to him/her by the Executive Council

 

5.1.4  Treasurer: the Treasurer shall be responsible for and oversee all financial administration of the organization. The Treasurer shall receive and give receipts for moneys due and payable to the organization and deposit all such moneys in the name of the organization in appropriate banks, and in general perform all the duties incident to the office of Treasurer and such other duties as from time to time may be assigned to him/her by the Executive Council

5.1.4a.  Bonding. if requested by the Executive Council, any person entrusted with the handling of funds or valuable property of the organization shall furnish, at the expense of the organization, a fidelity bond, approved by the Executive Council


Section 2 Election of Officers

 

5.2.1  Officers shall be elected by a majority vote of the General membership. officers are elected for a one year (Calendar year) term.

 

5.2.2  Officers may be re-elected for additional terms.

 

5.2.3  If an officer, other than the President, is unable to complete his term, the President may appoint a successor. The successor must be approved by the Executive Council.

 

5.2.4  Elections shall be held in either October or November to elect officers for the upcoming calendar year.

5.2.4a  The general meeting for the elections must be scheduled at least one month prior to the meeting. the date, time, and place for the meeting must be announced by email to the general membership.

 

5.2.5  A simple majority of the members present is sufficient. if no candidate receives a majority of votes, a runoff election shall occur to include the top two candidates for office.

 

Article VII Meetings

 

There shall be at least two general membership meetings per year. one meeting shall occur during the first half of the year, and the other should occur during either October or November.

 

The Executive Council shall determine the time and date of all meetings.

 

Article VIII Membership Dues

Dues

1.  New Full Member dues are $65 ($30 Yearly Dues & $35 Patch Fee)

2. Renewal Full Member Dues are $30 Yearly

3. New Associate Member dues are $35 Lifetime

4. Associate Members upgrading to Full members are $30 yearly

5. Pledge Member dues are $5 for a period of one year

Delinquency

If a member is delinquent in paying dues, the Treasurer shall notify the Secretary. the Secretary shall attempt to notify the member.

 

If a member is more than three months delinquent, the Executive Council shall determine the penalty for late payment. the minimum penalty shall be $5.

 

if a member is more than 6 months delinquent, termination of membership is recommended, and the Executive Council shall make the determination.

 

Article IX Dissolution

Upon dissolution of the Organization, its net assets shall be distributed to Augusta Pride. If Augusta Pride is no longer in existence, the net assets shall be distributed to a nonprofit organization to be determined by the Executive Council.

 

Article X Conduct

A member who engages in conduct that puts the reputation of the organization at risk may be sanctioned by the Organization.

 

A board shall be appointed by the Executive Council to review the member’s conduct and determine appropriate disciplinary action, that may include termination of membership.

 

Article XI By-Laws

  

The Bylaws may be amended by a vote of at least 60% of the Full members present in a general membership meeting. The proposed amendment must be communicated to the general membership at least one week before the meeting by email, or other electronic means.
